Bank Merger Act Reporting Requirements
(Sunday, January 01, 2006 through Sunday, December 31, 2006)

All of the following Merger applications have been approved by the FDIC during the year 2006. With regard to each of these applications, the FDIC considered and found favorably with respect to the statutory factors involved, including the financial and managerial resources; future prospects; convenience and needs of the community to be served; and the effectiveness of each depository institution involved in the merger in combating money laundering activities.

The FDIC has requested reports regarding the competitive factors from the Attorney General and/or other Federal banking agencies. The reports provided by the Attorney General and/or comments received from the other Federal banking agencies indicated that the proposed transactions would not have a significant adverse effect on competition.

In each case, the FDIC has determined: (1) that the transaction would not result in a monopoly or further any combination or conspiracy to monopolize or to attempt to monopolize the business of banking in any part of the United States; and (2) that the transaction would not have the effect in any section of the country to substantially lessen competition or tend to create a monopoly or in any other manner restrain trade, unless the anticompetitive effects of the transaction were clearly outweighed in the public interest by the probable effect of the transaction in meeting the convenience and needs of the community to be served.
